Exclusive Beat Contract

🎼 EXCLUSIVE BEAT LICENSE AGREEMENT

 

This Exclusive Beat License Agreement (“Agreement”) is made and entered into as of the date of purchase between:

 

Producer:

Ukiah Beats (Joseph Evans)

Austin, TX, USA

Licensee:

(“Artist” or “Licensee”)

 

1. GRANT OF RIGHTS

Upon receipt of full payment, the Producer grants the Licensee exclusive rights to the musical composition (the “Beat”) purchased from UkiahBeats.com.

Once sold, the Beat will be marked SOLD and removed permanently from the store.

The Licensee may record, reproduce, distribute, monetize, and publicly perform the Beat for unlimited commercial purposes.

The Licensee receives 100% of all revenue from streaming, downloads, physical sales, and performance income related to their song(s).

 

2. OWNERSHIP & PUBLISHING SPLIT

The Licensee receives full exclusive master rights.

The Producer retains 50% publishing ownership and writer’s share on the composition.

Party Role Split

Ukiah Beats (Joseph Evans) Producer / Composer 50%

Licensee Artist / Writer 50%

The Licensee agrees to list Ukiah Beats as a co-writer and publisher when registering the composition with ASCAP, BMI, or equivalent PRO.

 

3. SYNC PLACEMENTS

If the Beat or resulting song is placed in film, TV, advertising, games, or any visual media, all sync fees shall be split 50/50 between Producer and Licensee.

Both parties will retain their respective publishing percentages for backend royalties.

 

4. PRODUCER CREDIT

Licensee must credit the Producer on all releases as:

Produced by Ukiah Beats

This credit must appear on all streaming platforms, liner notes, social media posts, and metadata.

 

5. DELIVERY

Upon purchase, Licensee receives:

WAV file(s)

MP3 file

Track stems

A copy of this Agreement, which will be sent via email for signature after purchase

All files will be delivered electronically via UkiahBeats.com or by direct email delivery.

 

6. MODIFICATIONS

Licensee may edit, arrange, and modify the Beat for creative use, provided such changes do not misrepresent the Producer’s contribution.

 

7. ROYALTY-FREE SAMPLE DISCLAIMER

Some beats may include royalty-free samples, loops, or sounds that are legally cleared for commercial use.

The Producer confirms that all such materials are used in accordance with their license terms and do not require additional clearance from the Licensee.

 

8. COMPENSATION

This license is granted in exchange for a one-time payment through UkiahBeats.com.

No additional fees or royalties are due beyond the publishing and sync splits outlined in this Agreement.

 

9. WARRANTIES

The Producer warrants that each Beat is original and free of known third-party claims.

The Licensee warrants that they will not resell, sublicense, or distribute the Beat by itself.

 

10. GOVERNING LAW

This Agreement shall be governed by and construed under the laws of the State of Texas.

 

11. ENTIRE AGREEMENT

This document constitutes the full understanding between the parties and supersedes all prior agreements, written or oral.
