🎼 EXCLUSIVE BEAT LICENSE AGREEMENT

1. EXCLUSIVE RIGHTS

Upon full payment, the Licensee receives full exclusive master rights to the Beat (“Beat”), including:

Artist Benefits:

  • Unlimited streams on Spotify, Apple Music, YouTube, TikTok, etc.
  • Unlimited digital & physical sales
  • Unlimited radio play (FM, AM, Satellite, Internet, College)
  • Unlimited music videos & monetization
  • Unlimited live performances, shows, and tours
  • Worldwide exclusive rights — all cities, states, and countries
  • Exclusive ownership of the master
  • 100% of all master revenue (streams, downloads, sales, merch, UGC monetization, etc.)

Exclusivity Notes:

  • The Beat is SOLD upon purchase and permanently removed from the store.
  • No other artist will ever license or purchase this Beat.

2. OWNERSHIP & PUBLISHING

  • Licensee receives full exclusive master rights.
  • Producer retains 50% publishing ownership of the composition.

• Licensee agrees to register Ukiah Beats as co-writer/composer with ASCAP, BMI, SESAC, SOCAN, or relevant PRO.

  • Streaming, download, or master income for Licensee is not affected.

3. SYNC LICENSING

If used in film, TV, ads, trailers, games, or any visual media:

  • Upfront sync fees split 50/50 between Producer and Licensee.
  • Publishing and backend royalties remain as in Section 2.

4. PRODUCER CREDIT

Licensee must credit:
Produced by Ukiah Beats

Credit appears on:

  • Streaming platforms
  • Artwork/covers
  • YouTube uploads
  • Social media posts
  • Metadata & liner notes

5. DELIVERY

After purchase, Licensee receives:

  • WAV file(s)
  • MP3 file
  • Full stems
  • Copy of this Agreement (emailed for digital signature)

Files delivered via UkiahBeats.com or direct email.

6. PERMITTED MODIFICATIONS

Licensee may chop, arrange, remix, or alter the Beat as desired, without misrepresenting the Producer’s contribution.

7. ROYALTY-FREE SAMPLE NOTICE

Some Beats include royalty-free loops or sounds cleared for commercial use.

  • Producer confirms all materials are licensed.
  • No further clearance required by Licensee.

8. COMPENSATION

  • License granted for a one-time payment on UkiahBeats.com.
  • No additional fees/royalties beyond publishing and sync splits.

9. WARRANTIES

Producer: Beat is original and free of known third-party claims.
Licensee: Will not resell, sublicense, or distribute the Beat alone.

10. GOVERNING LAW

This Agreement is governed by Texas law.

11. ENTIRE AGREEMENT

This document represents the complete understanding between parties and supersedes all prior agreements.
